We are seeking a licensed lawyer or law firm able to provide a country-specific legal opinion (hereafter “Legal Opinion”) for one of the following jurisdictions: South Africa, Nigeria, United Kingdom, or the Netherlands. Please confirm which single jurisdiction you can provide a Legal Opinion for.
Below are our requirements and expectations. Kindly review and, if you can assist, submit a short proposal in response.
Scope of the engagement (required contents of the Legal Opinion)
The Legal Opinion must address, at minimum, the following items (please confirm you will cover each item explicitly):
Legality of the company’s incorporation and formation in the target jurisdiction.
Legality of the company’s continued existence and corporate status (good standing).
Shareholding structure and a chronology of historical shareholding changes (including copies or references to filings/register entries where applicable).
Board of directors (current composition, appointment authority and any irregularities).
Description of the company’s business activities and legal compliance of those activities under local law.
Company assets (nature, ownership, title issues, encumbrances).
Current tax registration, tax filing and payment status; assessment of whether the company has derived profits that may not have been subject to Hong Kong profits tax (if applicable), the reasons for such a situation, legal consequences and risk of penalties.
Current or past litigation, arbitration and administrative enforcement actions involving the company.
Current or past litigation, arbitration and administrative enforcement actions involving the company’s directors and shareholders.
Employment and labour compliance (if the company employs staff): employment contracts, statutory withholdings, social security/insurance compliance and any known exposure.
Formal requirements for the provider
Lead author must be a licensed/registered practitioner in the chosen jurisdiction and must sign the Legal Opinion.
Provide clear evidence of the firm’s and the signing lawyer’s credentials — practising certificate / license / bar registration and a brief CV for the signing lawyer. Electronic copies (PDF) are sufficient.
Provide a short conflicts check confirming you have no conflict that would prevent issuance of an independent Legal Opinion.
Deliverable format and language
Final Legal Opinion to be delivered in English, on the firm’s letterhead, dated and signed by the authorised lawyer. PDF format preferred.
Include appendices or copies of supporting source documents, filings or registry extracts relied upon.
Timeline and project plan
We require completion within 1–2 weeks from engagement.
Please provide a proposed detailed scope of work (task breakdown), and an estimated schedule showing key milestones and delivery date (expressly meeting the 1–2 week requirement).
Fee and payment terms
Our budgeted fee for this Legal Opinion is USD 3,500. Please confirm whether you accept a fixed fee of USD 3,500 (inclusive or exclusive of disbursements — specify) or provide your fee proposal and a brief fee breakdown if different.
Please state your standard payment terms and any required retainer or upfront deposit.
Documents we will (or can) provide to assist you
Please list any corporate, transactional or other documents you will require from us to issue the Legal Opinion (e.g., certificate of incorporation, constitutive documents, share register, minutes, tax filings, audited accounts).
