The Senior Vice President, Corporate & Securities Counsel is responsible for leading and directing RGA’s public company securities compliance, complex corporate and capital markets transactions, and executive compensation matters, in close partnership with Finance, and Human Resources.
The SVP, Corporate & Securities Counsel serves as Assistant Corporate Secretary, supporting Board and committee governance processes for the publicly traded parent company, and oversees governance and management practices for its regulated and unregulated subsidiaries.
Reporting to the EVP & Chief Legal Officer, the SVP, Corporate & Securities Counsel is a senior leader within Global Law & Compliance and a trusted advisor to the Board of Directors, senior management, and enterprise leadership teams.
Location: Ideally based in St. Louis, Missouri (RGA Headquarters) in a hybrid work arrangement. Other arrangements may be considered, including being situated in RGA’s New York City office.
What you will do:
Public Company Securities Compliance & Disclosure
Lead legal strategy for U.S. and international securities law compliance for a publicly traded enterprise.
Oversee preparation, review, and governance of SEC filings, including Forms 10-K, 10-Q, 8-K, proxy statements, and Section 16 filings.
Advise on disclosure controls and procedures and ensure consistency across public disclosures.
Oversee legal review of earnings releases, investor presentations, and external communications.
Advise on Regulation FD, selective disclosure risks, and disclosure governance.
Interpret changes in securities laws, SEC rules, and regulatory guidance and translate them into actionable compliance requirements.
Transactions, Capital Markets & Strategic Initiatives
Provide senior legal support for complex corporate and capital markets transactions, including equity and debt offerings.
Advise on mergers and acquisitions, joint ventures, strategic partnerships, and structured transactions.
Balance legal risk, regulatory requirements, and commercial objectives in support of enterprise growth.
Corporate Governance & Board Advisory
Provide strategic legal advice to the Board of Directors and its committees on governance best practices, fiduciary duties, and public company obligations.
Support Board and committee operations, including governance frameworks, policies, charters, resolutions, and shareholder meeting processes.
Serve as Assistant Corporate Secretary, supporting governance documentation, Board and committee processes, and subsidiary governance matters.
Monitor evolving governance standards, proxy advisory firm guidance, and shareholder expectations.
Executive Compensation & Equity Governance
Provide legal oversight and strategic guidance on executive compensation programs, incentive plans, and equity-based compensation arrangements.
Advise on compensation-related disclosures, say-on-pay matters, and applicable regulatory requirements.
Partner closely with Human Resources, Finance, and the Compensation Committee on executive pay strategy, governance, and compliance.
Leadership, Talent & External Counsel Management
Lead, mentor, and develop teams of senior attorneys and legal professionals.
Foster a culture of collaboration, accountability, and business partnership.
Manage external counsel relationships, including strategy, scope, budgets, and performance.
Drive continuous improvement, scalability, and effective legal service delivery.
What you bring to the table:
Education & Experience
Law degree from an accredited law school.
Active license to practice law in at least one U.S. state; member in good standing.
15+ years of experience in corporate and securities law, including significant public company experience.
Background in top-tier law firm with corporate or capital markets practice and senior in-house legal roles.
Experience advising Boards, senior executives, and compensation committees.
Experience in insurance, reinsurance, or financial services are strongly preferred.
Skills & Abilities
Deep expertise in public company securities regulation, corporate transactions, executive compensation, and governance.
Executive presence with the ability to influence Boards and C-suite leaders.
Strong commercial judgment and ability to manage complex, high-visibility matters.
Exceptional written, verbal, negotiation, and stakeholder management skills.
Proven ability to lead through change and operate effectively in a global, matrixed organization.

Compensation Range:
$294,100.00 - $443,167.00 AnnualBase pay varies depending on job-related knowledge, skills, experience and market location. In addition, RGA provides an annual bonus plan that includes all roles and some positions are eligible for participation in our long-term equity incentive plan. RGA also maintains a full range of health, retirement, and other employee benefits.
