Title and Summary
Vice President, Mergers and Acquisitions (Minority Investment)
Overview:
Based in Purchase, NY, the Vice President of Mergers & Acquisitions will be part of the Strategy, Corporate Development and M&A team and will report to the Senior Vice President, M&A. The VP of M&A will partner with the SVP of M&A to work with our global business units to drive the execution of acquisitions and equity investments in support of Mastercard's growth strategy. The VP, M&A will play a key role in all stages of the M&A process and partners with business units, functional M&A due diligence teams and other Mastercard stakeholders to successfully execute M&A transactions.
Role:
• Play a leading role in overseeing M&A and investment activities globally • Structure and execute acquisitions, divestiture, equity investments and Joint Ventures across the organization globally• Lead all aspects of a robust M&A process including:
o organizing, coordinating and leading cross-functional due diligence teams to assess risks and opportunities
o coordinating external financial advisors and investment bankers
o leading discussions/negotiations with the acquisition target around price, contract terms, etc.
o evaluating business cases, including go-to-market plans for synergies and integration plan and costing
o valuation against comparable transactions and utilizing discounted cash flow methodologies
o structuring of complex transactions leveraging appropriate internal tax, legal regional and external resources
o Lead acquisition/investment discussions at executive meetings
o Understanding and being able to articulate tradeoffs between value creation and risk under circumstances of ambiguity
o Lead creation of M&A deliverables such as presentations to senior executives and Board of Directors, deal closing approvals, etc.• Manage Mastercard's minority investment portfolio, including:
o Maintain strong engagement with portfolio companies and key co-investors and act as the "go-to" person on the team with respect to our engagement with our investments
o Oversee and coordinate operational resources from around Mastercard to deliver on periodic portfolio reporting
o Work with legal team and others to meet ongoing obligations including updating agreements, shareholder matters, etc.
o Coordinate and identify opportunities for portfolio optimization, follow-on investments, or divestitures
All About You:
• Bachelor's Degree, MBA or other advanced degree preferred• Extensive prior experience in M&A, Corporate Development, private equity, or Investment Banking• Experience leading complex cross-functional projects and teams under time pressure and challenging conditions• Experience leading and mentoring high-performing teams • Experience with strategic transactions in payments, fintech, or technology a plus• Strong written and verbal communication/presentation skills• Demonstrated executive level relationship building and partnering skills• Strong facility with valuation methodologies and other corporate finance concepts related to M&A and equity investments

In line with Mastercard's total compensation philosophy and assuming that the job will be performed in the US, the successful candidate will be offered a competitive base salary and may be eligible for an annual bonus or commissions depending on the role. The base salary offered may vary depending on multiple factors, including but not limited to location, job-related knowledge, skills, and experience. Mastercard benefits for full time (and certain part time) employees generally include: insurance (including medical, prescription drug, dental, vision, disability, life insurance); flexible spending account and health savings account; paid leaves (including 16 weeks of new parent leave and up to 20 days of bereavement leave); 80 hours of Paid Sick and Safe Time, 25 days of vacation time and 5 personal days, pro-rated based on date of hire; 10 annual paid U.S. observed holidays; 401k with a best-in-class company match; deferred compensation for eligible roles; fitness reimbursement or on-site fitness facilities; eligibility for tuition reimbursement; and many more.
