In-House Legal Coverage Position for Fixed Income Sales & Trading/Public Finance and Sales and Trading Coverage Attorney Morgan Stanley is seeking an in-house attorney to support senior legal coverage to the public finance, structured solutions and sales and trading activities within its Fixed Income Division's Municipals group (Munis). Coverage would include advice regarding new securities or loan issuances, structured solutions and related secondary sales and trading activities for Munis.
Responsibilities will include:
> Advising Public Finance teams on new issue municipal, tax-exempt and corporate debt transactions, working closely with outside counsel and other internal legal and compliance professionals, including the application of various requirements of the Municipal Securities Rulemaking Board (MSRB).
> Advising the Municipal Capital Markets, Client Finance and Capital Solutions teams on securities finance transactions (generally tender option bond transactions), direct purchases of municipal securities from the issuer thereof, structured finance and securitization transactions
> Providing advice to sales and trading professionals regarding secondary market trading issues, such as public/private information matters
> Analyzing and providing legal advice regarding applicable MSRB, FINRA and Securities Exchange Commission regulations to operations, risk management, compliance, accounting and other support areas, including among other things, use of various financing structures, MSRB-related and other execution issues
> Advising the business on legal matters relating to governance, compliance with relevant securities and banking laws and regulations, and operations, such as Firm policies and procedures, products and services and disclosures related to individual deals and ongoing initiatives
> Advising on a variety of cross-divisional initiatives, primarily involving Wealth and Investment Management
Qualifications:
> 4-6 years of experience as a practicing attorney in municipal, corporate or structured finance
> Ability to work collaboratively and independently in a fast-paced environment on multiple projects; ability to think strategically and analyze and evaluate potential risks and mitigation alternatives from a legal, regulatory and franchise perspective
> Experience with banking and securities regulations
> Familiarity with rules and regulations of the MSRB is ideal but not required
Salary and level will be competitive and level scaled to experience

Expected base pay rates for the role will be between $120,000 and $205,000 per year at the commencement of employment. However, base pay if hired will be determined on an individualized basis and is only part of the total compensation package, which, depending on the position, may also include commission earnings, incentive compensation, discretionary bonuses, other short and long-term incentive packages, and other Morgan Stanley sponsored benefit programs.
