The Assistant General Counsel will advise on complex M&A, securities, capital markets, corporate governance, due diligence, transaction documentation, regulatory filings, and post-merger integration. The role partners with the CLO, board, executives, corporate development, and financial reporting teams; manages outside counsel; presents legal analyses; and supports strategic corporate initiatives.

Provide legal counsel to global sales teams on complex SaaS, hardware, and services transactions. Draft, review, and negotiate high-volume domestic and international commercial contracts; supervise Contracts Managers; establish risk standards, playbooks, and policies; and support contract lifecycle management system development. Advise on regulatory and operational matters, collaborate cross-functionally, and mentor legal and contracts team members.

Assist the Chief Legal Officer with complex M&A, joint ventures, capital markets, securities reporting, and corporate governance. Lead due diligence, draft and negotiate transaction documents, manage outside counsel, coordinate regulatory filings, advise executives and the board, and support post-merger integration. The role requires a U.S.-admitted attorney with a J.D., top-tier law firm experience, and substantial expertise in public-company transactions, securities law, and corporate governance.
