Advise on mergers, acquisitions, divestitures, joint ventures, minority investments, and other strategic transactions. Negotiate transaction documents, coordinate due diligence, assess legal and business risks, support regulatory approvals and post-acquisition integration, and manage external law firms. Partner with Corporate Development, executives, business leaders, and cross-functional teams while providing independent legal advice in a regulated corporate environment.

Manages a C-suite executive office by prioritizing demands, coordinating calendars and meetings, handling confidential matters, and facilitating stakeholder communication. Leads executive-sponsored projects, cross-functional initiatives, leadership meetings, and follow-through. Prepares briefings, presentations, reports, and decision materials; improves office processes and provides guidance to administrative staff.

Provides securities-law counsel for SEC reporting, public-company disclosures, NYSE compliance, Section 16 obligations, insider trading controls, and capital markets transactions. Drafts and coordinates regulatory filings, reviews earnings and investor communications, monitors legal developments, improves disclosure processes, manages outside counsel, and advises internal stakeholders on complex legal matters.
