The Associate Commercial Counsel role will be an important member of the Legal team, supporting LiveRamp’s commercial contracting function across a wide range of customer, vendor, and business partner agreements. This is a junior commercial counsel role designed for an attorney early in their career who is eager to learn, grow, and develop strong judgment in commercial contracting, privacy-forward technology transactions, and cross-functional legal support.

This person will work closely with more senior members of the Legal team and will receive training, mentorship, and guidance while building the skills needed to support LiveRamp’s business in a fast-paced AdTech, MarTech, SaaS, and data collaboration environment. The role will help improve the overall efficiency of the Legal team by supporting contract review, intake, playbooks, templates, and other legal operations projects.

This role will be based in any of our US located offices (Little Rock, AR, San Francisco, CA, or New York, NY) and will interface with business teams to support a wide range of commercial initiatives requiring practical, business-minded legal guidance. This is an opportunity to develop as an in-house commercial attorney while contributing to a fast-paced organization operating at the forefront of the Ad/MarTech industry. This role reports to LiveRamp's Assistant General Counsel.

You will:

  • Draft, review, and negotiate a variety of commercial agreements, including customer agreements, vendor agreements, NDAs, order forms, statements of work, amendments, and other contract documents, with guidance and support from senior Legal team members.

  • Support more senior attorneys on complex and strategic commercial agreements, including by preparing initial reviews, identifying key issues, drafting proposed language, and helping track open items through execution.

  • Learn and apply LiveRamp’s contracting policies, templates, playbooks, and escalation processes while developing practical judgment about legal risk, business needs, and customer responsiveness.

  • Partner with internal stakeholders, including sales, finance, product, privacy, customer success, and business development, to support the sales cycle and help move contracts forward efficiently.

  • Provide practical guidance to cross-functional teams on routine contract questions, commonly requested edits, and standard LiveRamp positions, escalating non-standard or higher-risk issues as appropriate.

  • Help balance responsiveness to customers and business teams with protection of LiveRamp’s interests, working under the supervision of senior Legal team members.

  • Support the business and legal team members on legal review for Requests for Proposal (RFPs), security questionnaires, privacy-related contracting requests, and other customer-driven requests.

  • Respond promptly to the demands of an active SaaS sales team while learning how to prioritize work based on urgency, deal value, risk, and business impact.

  • Build fluency in LiveRamp’s products, privacy-first approach, data collaboration solutions, and commercial contracting model.

  • Contribute to improvements to contract templates, playbooks, intake processes, training materials, and other tools that help the Legal team work better, faster, and more consistently.
     

About you:

  • 0 to 3 years of legal experience, preferably with exposure to commercial contracts, technology transactions, privacy, SaaS, AdTech, MarTech, data, or similar areas.

  • J.D. degree from an accredited law school and membership in good standing with at least one US state bar, or eligibility to register as in-house counsel where required.

  • Interest in developing as an in-house commercial attorney in a technology, data, and privacy-forward business.

  • Strong writing skills, attention to detail, and ability to explain legal and business concepts in a clear, concise, and practical way.

  • Sound judgment, curiosity, and willingness to ask questions, learn quickly, and escalate issues appropriately.

  • Ability to work cross-functionally with sales, finance, product, privacy, marketing, customer success, and business development teams.

  • Comfort with a fast-paced environment, competing priorities, and a high volume of contract-related requests.

  • Strong organizational skills and a practical, business-minded approach to legal support.

  • Bonus Points: Prior internship, fellowship, law firm, or in-house experience involving commercial contracts, privacy, technology, SaaS, AdTech, MarTech, data, or similar subject matter.
     

The approximate annual base compensation range is $94,000 to $138,500. The actual offer, reflecting the total compensation package and benefits, will be determined by a number of factors including the applicant's experience, knowledge, skills, and abilities, geography, as well as internal equity among our team.
