We are looking for a pragmatic, business-minded Commercial Counsel with 2 to 5 years of experience to join our growing legal team and take ownership of our day-to-day commercial contracting. Reporting directly to the VP, Legal, you will be the first line on routine customer and vendor agreements, working directly with Sales, Finance, Procurement, Product, Compliance, and Customer Success to move deals from intake through signature. The VP, Legal stays closely involved in high-stakes and non-standard negotiations, so this role is ideal for an attorney who is ready to run standard commercial deals independently, knows when to escalate, and wants to help shape how contracting works as the company scales You will add dedicated legal review and negotiation capacity to a fast-moving team, partnering closely with contracts operations and the broader business to keep deals moving without becoming a bottleneck. This is a high-impact role with meaningful room to help grow the contracting function as the company scales.

Your Impact

  • Draft, review, and negotiate a high volume of standard commercial agreements, including SaaS subscription agreements, Order forms, NDAs, Data Processing Agreements, Business Associate Agreements, and Vendor, reseller, and partner agreements
  • Review customer purchase orders and vendor paper, including event, venue, and service agreements, and advise the business on whether they can be signed as presented
  • Serve as SwiftConnect's direct point of contact with customer procurement and legal teams on routine terms, escalating non-standard risk and unusual deal structures to the VP, Legal
  • Translate legal positions into practical, business-focused guidance that balances deal velocity with risk mitigation
  • Partner with contracts operations and business stakeholders on intake, approvals, and execution tracking, including getting answers on non-legal terms, while keeping your focus on the legal review, drafting and negotiation of in-flight deals
  • Empower the Sales team to manage initial commercial redlines and streamline the workflow for routing redlines between business stakeholders and Legal.Build and maintain scalable contracting infrastructure, including templates, clause libraries, fallback positions, and negotiation playbooks, so standard deals resolve efficiently
  • Help improve internal legal workflows, including intake, approvals, document management, and contract lifecycle management
  • Assist with data privacy, HIPAA, and related regulatory and contractual compliance across domestic and international standards
  • Support post-acquisition contract integration, including assignment and change-of-control review and consolidation of overlapping agreements, under the direction of the VP, Legal

The Winning Formula

  • Juris Doctor from an accredited U.S. law school and an active license to practice in at least one U.S. jurisdiction
  • 2 to 5 years of commercial contracts experience, including in-house experience at a SaaS or technology company
  • Hands-on experience negotiating SaaS and technology agreements, including subscription terms, data processing, and IP and licensing provisions
  • Experience with HIPAA and Business Associate Agreements, and working knowledge of U.S. and global privacy frameworks
  • Strong communication and negotiation skills, with the ability to hold routine positions independently and drive alignment with counterparties
  • A pragmatic, collaborative, problem-solving approach rather than pure issue-spotting
  • Comfort working independently in a high-growth, fast-paced environment
  • Familiarity with contract lifecycle management platforms and with building templates and playbooks (strong asset)
  • Familiarity with intellectual property and open source licensing frameworks (strong asset)
  • Comfort with technical product concepts such as software platforms, integrations, and hardware (strong asset)
  •

Why Join Us

  • Own the commercial contracting function day to day and help build the processes, templates, and playbooks that scale with the company
  • Work directly with a seasoned VP, Legal and across every business function, with a direct line of sight to how deals get done
  • Join a connected access pioneer at a pivotal growth stage, with real room to grow your scope as the legal team expands
