Title: Commercial Counsel

Job Summary

Prove is seeking an experienced Commercial Counsel responsible to support rapid new business growth. This person will be responsible for negotiating a high volume of complex commercial agreements with enterprise customers and strategic partners. This role requires a business-minded attorney with expertise in SaaS and technology contracts, a strong understanding of data privacy, and the ability to operate independently in a fast-paced, high-growth environment. The ideal candidate is a proactive problem-solver who can effectively manage risk while facilitating business objectives and collaborating closely with internal partners and customers.


Key Responsibilities:

  • Ability to draft and negotiate a high volume of commercial contracts including Master Services Agreements, SOWs, Service Level Agreements, Orders Forms, Data Privacy Agreements, Partnership and Referral Agreements, NDAs, and Marketing Agreements.
  • Negotiate against Fortune 100 companies.
  • Collaborate with the Legal and Privacy team and cross-functional business teams.

Qualifications and Experience:
  • Licensed attorney in New York, or ability to obtain in-house corporate counsel registration.
  • 3+ years’ experience in drafting, reviewing, and negotiating SAAS and other commercial software and technology agreements in-house or with a nationally recognized law firm.
  • Experience in negotiating for or against multi-national large corporations in the technology area.
  • Excellent understanding of contracting principles related to SAAS contracts from both client and vendor perspective.
  • Experience analyzing risks of contractual terms related to certain technology.
  • Curiosity to learn new technologies and apply legal principles to them.
  • Experience in data privacy is preferred.

  • Experience in high-growth /pre-IPO Technology companies

The anticipated salary range for this role is $145,000 - 170,000 plus variable commission / company bonus. Offered salary will be determined by the applicant’s education, experience, knowledge, skills, geo-location and abilities, as well as internal equity and alignment with market data.
