About the Role

Location: New York, NY; Hybrid

As Legal Counsel in our TRS Legal team, supporting our Turnaround & Restructuring Services (TRS) Americas practice, you will play a pivotal role in the development of this new position focused on structuring, launching, and managing high-stakes client engagements. You will work closely with Legal, Compliance, and Risk colleagues as well as TRS Americas consultants—along with outside counsel—to help guide the firm through complex matters with speed, accuracy, and sound judgment.

The Legal Counsel II position is a full-time role in New York, NY and reports to the Associate General Counsel - Restructuring.   

What you’ll do

In this role, you will:

  • Draft, review, and negotiate engagement letters, agreements, non-disclosure agreements, disclaimers, report access letters and related documents for TRS clients.
  • Provide legal and risk review of reports and work product prior to client issuance.
  • Draft and negotiate contingent fee terms.
  • Review Directors & Officers (D&O) insurance policies, prepare board resolutions, and coordinate with brokers and outside counsel for interim management engagements.
  • Partner with internal stakeholders and external counsel to resolve open issues and secure engagement approvals.
  • Maintain internal trackers for engagement letters, interim management roles, and risk approvals.
  • Assist in managing incoming requests through Ironclad, ServiceNow, email, and virtual communication tools.
  • Provide back-up support for all bankruptcy services provided by the TRS Legal team.
  • Contribute to additional projects and initiatives as our practice evolves.

 What you’ll bring

  • Graduate of an accredited law school and licensed to practice law.
  • Minimum four (4) years’ legal experience required, with chapter 11 bankruptcy experience required.
  • Deep experience in contracting and Directors & Officers insurance required.
  • Experience drafting engagement letters or contracts.
  • Ability to collaborate effectively with cross-functional teams and external professionals.
  • Sound judgment and the ability to tailor engagement letter provisions based on the nature of services.
  • Independent worker with effective organizational and time management skills, sense of urgency and ability to handle multiple tasks and letters simultaneously in a deadline-driven practice.
  • High level of accuracy, attention to detail, and proofreading skills.
  • Ability to handle confidential, sensitive information.
  • Possess common sense, diligence, integrity, professionalism, good judgment, and accountability.
  • Proficient in Microsoft Word, Excel, and PowerPoint and able to work via email and video calls; knowledge of Ironclad and iManage preferred.
  • Clear, confident written and verbal communication skills in English, including the ability to communicate detailed and complex information to others at all levels.
  • Ability to work full time in an office and remote environment; physically able to sit/stand at a computer and work in front of a computer screen for significant portions of the workday.

  • Core working hours are generally 8:30 AM – 5:30 PM, Monday – Friday. Candidate must be willing and able to work outside of normal U.S. business hours as needed. There will also be periodic on-call responsibilities outside of regular working hours to cover requests as needed with occasional weekends included. 

AlixPartners has embraced a hybrid work model to provide flexibility and support our employees’ work-life integration. Our hybrid model combines a mix of in-person at an AlixPartners office on Tuesday, Wednesday, and Thursday, with remote working options on Monday and Friday.

Employees will also receive a generous paid leave policy including vacation/personal time starting at 7.34 hours per pay period, sick time up to 80 hours annually, parental leave, and twelve holidays.  

The base salary for this role takes into account a number of factors and is between $165,000/annually- $175,00/annually with eligibility for an annual discretionary bonus.
