About the Role

Litify is seeking a skilled and proactive Corporate Counsel with 1-5 years of relevant legal experience to support our commercial operations and general corporate legal needs. This role reports to the VP, Legal and will be instrumental in helping manage the full lifecycle of commercial contracts and providing legal guidance across the organization.

As the second member of Litify’s legal department, you will be a key piece of our growth story and will have the opportunity to take on significant ownership of legal projects. The ideal candidate is a licensed attorney with a background in software and technology, strong drafting, negotiation, and communication skills, and an ambitious self-starter eager to learn and apply their skills and collaborate with legal and non-legal stakeholders throughout the organization. The successful candidate will be excited about taking on an important role at a growth-oriented SaaS company.

Key Responsibilities

  • Commercial Contracting:
    • Draft, review, redline, and negotiate a high volume of complex commercial agreements, including:
      • Enterprise Customer/Subscription Agreements (SaaS)
      • Vendor/Procurement Agreements
      • Strategic Partner Agreements
      • Non-Disclosure Agreements (NDAs)
      • Statements of Work (SOWs) and other ancillary documents
    • Ensure agreements are consistent with Litify’s business objectives, internal policies and practices, and legal requirements.
    • Assist in managing the contract lifecycle from initial draft through execution.
  • Data Security and Privacy:
    • Assist in reviewing and negotiating data security, data privacy, and compliance terms in customer and vendor agreements.
    • Provide legal assistance and counsel on various data protection issues, including GDPR, CCPA, and other relevant frameworks.
  • Sales Support and RFPs: Provide legal assistance and support in the timely and accurate completion of Request for Proposal (RFP) responses, particularly reviewing and advising on legal, compliance, and risk-related sections.
  • General Legal Support: Assist the VP, Legal and counsel other key stakeholders regarding a wide range of corporate matters, including
    • General employment matters and policies;
    • Business disputes;
    • General corporate matters, compliance initiatives, and internal policy development.
    • Product-related legal guidance

Qualifications

  • J.D. degree from an accredited law school.
  • Licensed and in good standing with a state bar association (e.g., NY, CA, etc.).
  • 1-5 years of relevant legal experience in a law firm or in-house legal department, with experience in technology transactions and commercial contracting.
  • Proven ability to efficiently review, redline, and negotiate complex legal terms with external parties.
  • Familiarity with data security, privacy regulations, and the contractual terms associated with them. Certifications from the IAPP or similar organization a plus.
  • Excellent written and verbal communication skills, with the ability to translate complex legal issues into clear business advice.
  • Highly organized, detail-oriented, and able to manage multiple priorities and deadlines simultaneously.
  • Experience working in the SaaS industry is a plus. Demonstrated interest in software and technology.

Disclosure:
The estimated base salary pay range for this role is $130,000-170,000. You may also be offered a bonus and benefits.

Our salary ranges are based on paying competitively for our size and industry, and are one part of many compensation, benefits and other reward opportunities we provide. 

Individual pay rate decisions are based on a number of factors, including qualifications for the role, experience level, skill set, and balancing internal equity relative to peers at the company.
