About the role
Serotonin Legal is looking for a talented attorney with relevant in-house and/or law firm experience in transactional and corporate law. The firm is open to mid-level to senior associate talent and compensation will be determined based on experience. The attorney will primarily be responsible for handling emerging companies and venture capital related matters including entity formation and setup, equity and debt financings, commercial contracts, corporate governance, employment, equity compensation, capitalization table management, M&A, “outside general counsel” responsibilities and other general corporate matters. Web3 and blockchain experience and knowledge are preferred, but not required. The attorney will work closely with the Managing Partner on a regular basis.
Responsibilities
- Manage entity formation and setup for emerging companies.
- Oversee equity and debt financings, including structuring and negotiation.
- Draft and negotiate commercial contracts.
- Provide counsel on corporate governance and compliance matters.
- Advise on employment law and equity compensation strategies.
- Manage capitalization tables and related documentation.
- Handle mergers and acquisitions (M&A) transactions.
- Serve as “outside general counsel” to clients.
- Address other general corporate legal matters as needed.
- Collaborate closely with the Managing Partner to deliver client-focused solutions.
- Stay informed on developments in Web3 and blockchain technologies.
Requirements
- Juris Doctor (J.D.) degree with strong academic credentials.
- Membership in the New York State Bar is preferred but not required if admitted in another jurisdiction.
- 2–8 years of experience at a law firm with an Emerging Companies & Venture Capital (ECVC) or similar practice group, or in-house experience with a technology company.
- Knowledge and experience in Web3 and blockchain technologies are preferred but not required.
- Excellent project management, analytical, and communication skills, both oral and written.
- Proven ability to work independently while staying connected in a remote work environment, especially if located separately from other team members.
