Position Details:
As part of the Legal team, you will report to Chief Operating Officer. You will you will serve as a key member on the leadership team and manage all legal matters for the organization in alignment with the Child Mind Institute's mission, values and programmatic objectives.
This is an exempt, full-time position requiring a minimum of four (4) days per week in the NYC headquarters office, on a schedule determined by your supervisor.
You Will:
Counsel executive leadership and the Board of Directors on all legal matters affecting the organization, including governance, major transactions, regulatory compliance, fundraising, risk management, real estate, technology strategy, intellectual property and external policy positions.
Oversee and manage corporate governance matters, including Board and Committee meetings, conflicts of interest, minutes and associated processes and policies.
Collaborate with executive leadership on growth initiatives, including exploring new business lines, funding sources and domestic and international expansion.
Act as chief compliance and risk officer, advising on applicable laws and regulations, including in the areas of exempt organizations, employment, intellectual property, technology, fundraising, tax, human subject research, data security, cybersecurity and privacy.
Manage the contract review and approval process, draft and negotiate a wide variety of transactions, templates, official correspondence and organizational policies.
Oversee the management of insurance policies and renewals to ensure adequate coverage.
Direct the management of corporate and charitable registration filings and renewals.
Manage and protect the organization's intellectual property portfolio, including trademark, copyright and patent registrations and renewals, licensing, enforcement, use guidelines and related policies.
Advise on legal issues related to technology systems and digital initiatives, including software licensing, vendor agreements, artificial intelligence, data governance, information security and technology risk management.
Advise Human Resources professionals in employment-related personnel matters.
Act as legal representative on the IT Incident Response Team, 401(k) Committee and Clinical Incident Review Committees, among others.
Support the Finance Department in the preparation of audited financials and Form 990 Information returns.
Counsel clinicians on family law and litigation, oversee medical malpractice counsel and manage responses to regulatory inquiries/investigations.
Counsel researchers and review protocols, consent forms and IRB submissions.
Manage outside counsel as needed; strengthen and expand pro bono relationships.
Perform additional job-related duties as assigned.
You Have:
Juris Doctor degree
8 years of legal experience at a law firm and/or as in-house counsel.
Licensed to practice law in New York

Pay Range
The salary range for the position is posted. Factors such as candidate's work experience, education/training, job-related skills, internal peer equity, as well as market and business considerations affect the salary offered within this range. In addition, this salary may be subject to a geographic adjustment (according to a specific city and state and depending on the role), if an authorization is granted to work outside of the location listed in this posting.
