About the Role
 
Our client, a leading alternative investment manager, is seeking an experienced attorney to join its Legal & Compliance team in a dedicated in-house counsel role supporting a growing credit investment platform.
 
This is an opportunity for an attorney with investment management experience to move into, or continue building their career within, an in-house environment and work directly alongside investment professionals, senior leadership, operations, and compliance teams. The role will provide legal and regulatory guidance across private and registered investment funds, with exposure to fund formation, ongoing operations, governance, compliance, and a range of credit investment strategies.

Responsibilities

    • Serve as an in-house legal resource to investment, operations, compliance, and other business teams. 
    • Advise on regulatory matters involving the Investment Advisers Act, Investment Company Act of 1940, securities laws, and other requirements applicable to investment managers. 
    • Support the formation, structuring, and ongoing operation of private and registered investment funds. 
    • Provide legal support across credit strategies including private credit, direct lending, asset-based lending, structured credit, and CLOs. 
    • Review and negotiate fund documentation, including offering materials, partnership agreements, subscription documents, and side letters. 
    • Advise on fund governance, potential conflicts, trading restrictions, and related compliance matters. 
    • Support the marketing and distribution of investment products in the U.S. and internationally, including placement agent arrangements. 
    • Partner closely with the compliance team on policies, procedures, regulatory matters, and ongoing risk management. 
    • Manage relationships with external counsel and other legal service providers. 
    • Monitor regulatory developments and advise investment and business teams on their potential impact.

Qualifications & Preferred Experience

    • 4–6+ years of relevant legal experience at a law firm, investment manager, or combination of both. 
    • J.D. from an accredited law school and admission to at least one U.S. state bar. 
    • Experience advising investment managers, private funds, registered funds, or alternative investment strategies. 
    • Strong understanding of private fund formation, investment documentation, and ongoing fund operations. 
    • Knowledge of the Investment Advisers Act and Investment Company Act of 1940 preferred. 
    • Familiarity with SEC requirements and regulatory compliance applicable to registered investment advisers. 
    • Experience with private credit, structured credit, CLOs, hedge funds, or other alternative investment strategies is strongly preferred. 
    • Strong drafting, negotiation, analytical, and communication skills. 
    • Ability to operate independently and provide practical, business-oriented legal advice to investment professionals and senior stakeholders. 
    • Experience at a leading investment management law practice or alternative asset manager is preferred.
