Retail Funds Counsel
The ideal candidate is a creative and business-minded funds lawyer who has deep expertise in regulated funds distributed to retail investors. The candidate must live and breathe fund creation and management and be passionate about developing creative solutions to bring alternative investments to retail investors. Experience with private funds is a plus. This person is a creative problem-solver, a self-starter with a great attitude and a team player who is collaborative and comfortable making decisions. This position will report into our General Counsel.
What you’ll do:
- Own day-to-day management of the Yieldstreet Prism Fund, a publicly-filed regulated closed-end fund, as well as other regulated funds managed by Yieldstreet
- Attend to prospectuses, prospectus supplements, offering circulars, offering pages, website changes, fund reports, and tender offers for Yieldstreet’s funds
- Act as Yieldstreet’s liaison with its outsourced Chief Compliance Officer for all regulated funds and manage all compliance-related matters for those funds
- Advise on day to day regulatory issues as they pertain to regulated funds
- Manage our Regulation A funds, including attending to offering circulars, legal advice, required filings and compliance with 40 Act and REIT requirements, as applicable
- Advise origination teams on 40 Act rules and regulations
- Support all retail distribution efforts through new product design and innovation
- Lead Yieldstreet’s third party fund strategy
- Review and analyze peer initiatives and market trends
- Drive efforts for international investors to invest in funds through a variety of structures
- Lead channel distribution efforts and investment by IRA and other benefit plan investors in Yieldstreet funds
- Support product and marketing initiatives as they relate to regulated and private funds
- Assist with reviewing contracts and vendor agreements
- Lead our efforts to register as a transfer agent and manage Yieldstreet’s transfer agency business, including all compliance functions
What you’ll need:
- JD degree with strong academic credentials
- 8+ years’ experience as a regulated funds lawyer at a major law firm
- Expertise with regulated public and private closed-end funds, BDCs, ETFs, and REITs required
- Member in good standing of the New York state bar
Bonus points for:
- Private funds experience
- International experience
- In-house experience with a 1940 Act regulated fund complex is a big plus.
