The role
Raydar is recruiting for this role on behalf of our client. Take on company-side transactional work for technology clients, managing deals from start to finish with light partner oversight. The role also includes occasional sale-side support and general corporate matters, and it helps shape a new dedicated practice group.
What you'll do
- Run equity financing transactions from term sheet through closing.
- Represent technology companies on governance and day-to-day outside counsel matters.
- Advise on equity incentive plans and commercial contracts.
- Support sell-side M&A transactions as clients approach an exit.
- Help with overflow fund formation work as needed.
- Work directly with partners and clients while managing your own matters.
Requirements
What we're looking for
- Seven to fifteen years of experience in transactional work for early-stage and venture-backed companies.
- JD from a well-regarded law school.
- Active US bar admission in good standing, in any state.
- Experience drafting primary financing documents and related ancillary documents.
- Experience reviewing and negotiating term sheets.
- Track record of running financing deals end-to-end.
- Experience representing companies rather than investors.
- Primarily technology sell-side M&A experience.
- A forward-thinking, technology-minded approach to practice.
