In this corporate role, you will support the General Counsel, Corporate Secretary, and Legal Department by coordinating complex corporate governance, securities, transactional, and entity‑management work. You will help ensure accurate and timely public‑company reporting, maintain governance records, support board and committee activities, and contribute to major transactions by organizing diligence, documentation, and corporate records. Your work directly strengthens the company’s legal operations, compliance posture, and organizational integrity.

Responsibilities

  • Supports preparation, coordination, and maintenance of U.S. Securities and Exchange Commission (SEC) reports and filings, including Forms 10‑K, 10‑Q, 8‑K, proxy statements, registration statements, and Section 16 filings.
  • Maintains SEC filing calendars, disclosure schedules, EDGAR information, filing checklists, and related documentation.
  • Coordinates stock‑exchange compliance processes, insider‑trading procedures, blackout periods, pre‑clearance activities, and 10b5‑1 plan documentation.
  • Supports corporate governance operations by maintaining charters, bylaws, resolutions, consents, director and officer records, and committee materials.
  • Prepares and organizes Board of Directors and committee meeting materials, agendas, minutes, logistics, notices, and secure document distribution.
  • Assists with annual meeting preparation, including proxy materials, notices, voting matters, shareholder communications, and meeting records.
  • Provides paralegal support for mergers and acquisitions (M\&A), including diligence management, data‑room preparation, document coordination, closing checklists, and post‑closing records.
  • Maintains legal‑entity records, including organizational documents, ownership records, state filings, annual reports, registrations, and corporate‑record systems.
  • Supports legal‑department operations by coordinating outside counsel matters, preparing routine corporate documents, conducting research, and managing notarizations, certifications, and document delivery.
  • Handles confidential information with professionalism and discretion and performs additional projects as assigned.

Required Qualifications

  • 5–7 years of progressive corporate or securities paralegal experience in a public company, law firm, or comparable legal environment.
  • Demonstrated experience supporting SEC reporting and public‑company securities matters.
  • Experience supporting corporate governance and Board of Directors and committee activities.
  • Experience supporting M\&A or other complex corporate transactions, including due diligence and closings.
  • Strong knowledge of corporate records, entity management, and standard corporate documentation.
  • Excellent organizational skills and ability to manage multiple priorities, deadlines, and stakeholders.
  • Exceptional attention to detail and accuracy in a highly regulated environment.
  • Strong written and verbal communication skills.
  • Ability to exercise sound judgment and maintain strict confidentiality.
  • Proficiency with Microsoft Word, Excel, PowerPoint, and Outlook.

Preferred Qualifications

  • Experience supporting a publicly traded company, preferably a Nasdaq‑ or NYSE‑listed company.
  • Experience with EDGAR filing systems and SEC filing processes.
  • Experience with Section 16 reporting and equity administration.
  • Experience with board‑portal systems such as Diligent, Boardvantage, or similar platforms.
  • Experience with entity‑management or legal‑department management systems.
  • Experience in a regulated industry such as aerospace/defense, manufacturing, technology, or other complex corporate environment.
  • Paralegal certificate, bachelor's degree, or an equivalent combination of education and relevant experience.

This position requires U.S. person status under U.S. export control laws, including U.S. citizens and nationals, lawful permanent residents, refugees, and asylees.
