Position Summary

Kaseya is seeking a strategic, hands-on Senior Director, M&A to lead mergers and acquisitions and drive corporate development initiatives that support the company’s long-term growth and value creation. This individual will be responsible for identifying and evaluating acquisition opportunities, managing the end-to-end transaction process, and partnering with executive leadership to assess strategic investments and portfolio opportunities.

Working closely with the VP of Strategy & Operations, the CFO/COO, and the broader executive team, the Senior Director, M&A will lead transaction strategy, valuation, due diligence, negotiations, and deal execution while coordinating cross-functional stakeholders and external advisors. This role will also contribute to capital allocation decisions, financial modeling, and post-transaction integration planning to ensure investments align with Kaseya’s strategic objectives.

The ideal candidate brings significant M&A experience, strong financial and analytical capabilities, sound commercial judgment, and the ability to manage complex transactions while building trusted relationships with senior executives and external stakeholders. This individual will also lead and develop a team while remaining directly involved in high-priority transactions.

Key Responsibilities

  • Mergers & Acquisitions: Lead the end-to-end M&A process, including opportunity identification, target evaluation, valuation, due diligence, deal structuring, negotiation, and closing. Manage multiple transactions and ensure alignment with Kaseya’s strategic and financial objectives.
  • Corporate Development: Build and maintain a pipeline of acquisition opportunities through market research, competitive intelligence, industry analysis, and portfolio assessment. Evaluate potential strategic partnerships and other opportunities that support business growth.
  • Financial Modeling & Valuation: Develop and evaluate financial models, valuation analyses, and investment business cases to assess transaction economics, expected returns, risks, and strategic fit. Conduct scenario and sensitivity analyses to support executive decision-making.
  • Due Diligence & Deal Execution: Coordinate financial, operational, commercial, legal, and other diligence workstreams with internal teams and external advisors. Identify key risks, validate investment assumptions, and drive transactions forward efficiently.
  • Executive & Stakeholder Partnership: Partner with the CFO/COO, VP of Strategy & Operations, and other executive stakeholders to develop transaction strategies, present recommendations, and support investment decisions. Communicate complex financial and strategic considerations clearly and effectively.
  • Transaction Financing & Capital Allocation: Partner with Finance and Treasury to evaluate transaction financing alternatives and assess the impact of potential acquisitions on capital structure, liquidity, leverage, and overall financial flexibility.
  • Post-Acquisition Integration: Partner with the PMO and cross-functional leaders to develop integration plans, track key milestones, and support the realization of expected transaction value following closing.
  • Strategic Finance: Support long-range financial planning, investment analysis, and scenario modeling related to acquisitions, portfolio strategy, and other growth initiatives. Evaluate performance against transaction assumptions and expected returns.
  • External Relationship Management: Build and maintain relationships with investment banks, private equity firms, corporate development counterparts, and other external partners to generate deal flow and support transaction execution.
  • Team Leadership & Development: Lead and develop a high-performing team, establish consistent processes and analytical standards, and maintain direct involvement in the company’s most complex and consequential transactions.

Required Qualifications

  • 12+ years of progressive professional experience in mergers and acquisitions, corporate development, investment banking, private equity, or a related field.
  • At least 5 years of experience in investment banking, private equity, or corporate development.
  • Proven track record of leading complex M&A transactions from initial evaluation and valuation through due diligence, negotiation, and closing.
  • Advanced financial modeling and valuation skills, including experience with discounted cash flow analysis, comparable company analysis, precedent transactions, and other relevant valuation methodologies.
  • Strong understanding of financial statements, transaction structuring, investment returns, and the financial implications of acquisitions.
  • Demonstrated ability to manage multiple transaction workstreams and coordinate cross-functional teams, external advisors, and senior stakeholders.
  • Strong commercial judgment, negotiation skills, and analytical capabilities, with the ability to identify risks and develop actionable recommendations.
  • Excellent written and verbal communication skills, including experience presenting transaction analyses and recommendations to executive leadership.
  • Demonstrated leadership capabilities and experience mentoring, developing, or managing team members.
  • Ability to operate effectively in a fast-paced, evolving environment while maintaining accuracy, discretion, and attention to detail.

Preferred Qualifications
