Position Overview

The Associate General Counsel, Private Equity, of StepStone Group LP will support StepStone’s Private Equity business, and report into the Senior Associate General Counsel, Private Equity. As an integral member of the Legal team, the person filling this role will be responsible for drafting, reviewing and negotiating legal documentation with respect to the firm’s private equity investments, including secondary transactions,  co-investments and primary fund commitments. This role will also include assisting in the structuring, negotiation, formation, and management of StepStone’s Private Equity commingled funds, funds-of-one, and investment advisory relationships.

Essential Job Functions:

  • Structure, draft, and negotiate documentation related to secondaries (including GP-led and LP-led secondary transactions), co-investments, and primaries, including term sheets, partnership agreements, purchase agreements, side letters, transfer agreements and equity financing documents
  • Assist in the formation and negotiation of special purpose vehicles
  • Collaborate with and monitor external legal counsel in connection with private equity transactions, including reviewing invoices and providing feedback
  • Monitor existing investment portfolio and manage disposition of investments
  • Review legal due diligence materials, including regulatory correspondences
  • Assist senior attorneys in fund formation and structuring for private equity commingled funds and funds-of-one and negotiating investment advisory agreements and placement agreements
  • Manage ongoing legal operational needs of commingled funds, advisory clients and funds-of-one, including amendments, consents, MFNs and liquidity elections
  • Supervise and manage internal paralegal team to ensure timely submissions of AML/KYC and subscription materials
  • Coordinate and work closely with investment, finance, compliance, and operational due-diligence teams on all fund formation and investment activities
  • Special projects from time to time subject to availability (e.g., strategic transactions, new product research and evaluation, special mandate activity, process efficiencies, legal technology implementations, fiduciary counseling and training, regulatory filings, etc.)

Education and/or work experience requirements: 

  • Must possess a law degree (LLB or JD), good academic track record and membership in good standing with an applicable law society
  • At least 6 years’ experience in private markets transactions and/or fund formation within a law firm or investment management firm

  • Utilize effective time management skills to maintain a commitment to quality and attention to detail; ensure that all work is completed accurately and on time
  • Foster a sense of teamwork, assisting others when needed/required; work collaboratively with attorneys supporting other asset classes to share best practices, provide coverage, etc.

  • Focus on specific goals and demonstrate a sense of personal growth, accountability and urgency for achieving results

Salary Range - $275,000 - $300,000

The salary range is an estimate of pay for this position.  Actual pay may vary depending on job-related factors that can include location, education, skill, and experience.  The salary range does not include any benefits or other forms of possible compensation that may be available to employees.
