Job Introduction:

As Commercial Counsel, you will support our commercial contracting function end to end, serving as the go-to legal partner on deals from first draft to signature. Reporting directly to the leader of the Commercial Legal team, you will negotiate complex, high-impact agreements, build smarter, scalable processes that help deals close faster and partner with Sales, Finance, Product and other teams to move the business forward while managing risk. You will work on a wide range of commercial agreements, have a real seat at the table and grow with a fast-paced, high-growth organization.

Key Roles and Responsibilities:
  • Lead drafting, review and negotiation of complex commercial agreements, including SaaS agreements, enterprise level MSAs, SOWs, DPAs and partnership agreements.

  • Partner closely with the Sales and Partnership teams to support quick turnaround of agreements under tight deadlines.

  • Work cross-functionally with Finance, Professional Services, Sales Operations, Engineering and other teams to collaborate on contract reviews.

  • Provide practical, business-focused legal advice to internal stakeholders on a wide range of commercial matters

  • Stay up to date on relevant laws, regulations and industry trends impacting SaaS, AI, Data Privacy and Automotive.

Basic Qualifications:
  • 6-8 years’ experience providing legal support to sales organizations at a high growth fast paced SaaS company.

  • Extensive experience negotiating complex commercial agreements at the enterprise level.

  • Familiarity with common issues in contracting SaaS, AI, and Data Privacy agreements.

  • Familiarity with revenue recognition principles (ASC 606) and other relevant accounting standards.

  • Business minded: You understand the need for speed and can balance legal risk with business priorities.

  • Collaborative: Strong ability to partner with cross functional teams and coordinate input from various stakeholders.

  • Energy: A desire and ability to match the speed and energy of a high growth fast paced work environment.

  • Proficiency with contract lifecycle management tools such as Ironclad and Salesforces.

  • Experience working with legal AI tools and an understanding of how to leverage them to increase efficiency.

  • Education: J.D. from an accredited law school and active bar membership in at least one U.S. Jurisdiction.

  • Flexibility to support meetings in EST and PST.
