Job Summary
The Corporate Counsel provides legal guidance and support to the organization on a wide range of issues, including regulatory compliance, contract law, employment arrangements, healthcare laws, and corporate governance. This role works closely with internal stakeholders to review, draft, and negotiate agreements, assess legal risk, interpret complex statutes and regulations, and ensure adherence to applicable laws and company policies. The Corporate Counsel plays a key role in enabling strategic decisions while mitigating legal exposure and supporting operational integrity.

Essential Functions

  • Provides legal advice and counsel to company leadership, business units, and support functions on matters involving healthcare law, regulatory compliance, contracts, and corporate policy.
  • Drafts, reviews, and negotiates a broad range of contracts, including provider employment agreements, service agreements, and vendor arrangements.
  • Analyzes and applies federal and state laws related to fraud and abuse, including the Stark Law, Anti-Kickback Statute, and False Claims Act, incorporating compliance safeguards into contract terms and business practices.
  • Supports operational and strategic decisions by identifying legal risks, proposing mitigations, and offering practical, solution-oriented guidance.
  • Interprets and communicates the impact of statutes, rulings, and regulatory changes to internal stakeholders.
  • Participates in the development, implementation, and training related to corporate policies, procedures, and compliance programs.
  • Coordinates with internal departments (e.g., Compliance, HR, Finance, Operations) to ensure alignment between legal guidance and business practices.
  • Collaborates with outside counsel when necessary and assists in managing legal matters, litigation, or external regulatory investigations.
  • Performs other duties as assigned.
  • Maintains regular and reliable attendance.
  • Complies with all policies and standards.

Qualifications

  • Juris Doctor (JD) Degree from an accredited law school required
  • 4-6 years of experience practicing law, including contract law, healthcare law, or corporate legal counsel experience required
  • Experience in a healthcare organization or advising healthcare providers preferred

Knowledge, Skills and Abilities

  • Strong understanding of healthcare regulatory requirements, including Stark, Anti-Kickback, HIPAA, and related federal and state laws.
  • Ability to draft, interpret, and negotiate a variety of legal agreements.
  • Excellent analytical, communication, and interpersonal skills.
  • Ability to translate complex legal concepts into practical guidance for business stakeholders.
  • Strong organizational and time management skills, with the ability to manage multiple priorities.
  • High level of integrity, discretion, and professionalism.

Licenses and Certifications

  • Bar Admission active and unencumbered in at least one U.S. state required
