About the team

The Legal, Risk & Compliance (LRC) team at Airwallex is a collaborative group of legal minds and risk management experts. We're passionate about safeguarding Airwallex's operations, fostering a culture of compliance and ethical conduct, and ensuring we navigate the global financial landscape with integrity. We provide expert guidance and support to all areas of the business, proactively identifying, mitigating, and managing legal and financial risks.

What you'll do

As Corporate Secretary within the Corporate Legal team, you'll manage the full spectrum of company secretarial and corporate governance matters across Airwallex's growing portfolio of licensed entities worldwide. You'll help keep our global entity structure compliant, well governed, and ready to support the company's expansion plans. Working closely with the Head of Corporate Legal, Corporate Development & Investor Relations, Finance, Tax, People & Talent and Regulatory Legal, you'll oversee board and committee governance, entity lifecycle management, statutory compliance and equity administration. This is a chance to build and own the corporate secretarial function for a cross-border fintech operating in over 20 markets.

This role is based in San Francisco or New York.

Responsibilities:

  • Handle the full spectrum of company secretarial matters for licensed entities across regions, including incorporation, restructuring, capital injections and winding down of entities, alongside statutory and regulatory filings across jurisdictions.

  • Organize and facilitate board, committee and general meetings, including preparing agendas, resolutions, minutes and presentation materials, and manage follow-ups and action item tracking.

  • Maintain statutory registers, board books, minute books and corporate records for all group entities, keeping them accurate and accessible across the organization.

  • Support Options and RSU administration and shareholder-related matters, partnering with People & Talent and Corporate Development.

  • Keep the group compliant with licensing conditions, regulatory obligations and internal governance standards in every jurisdiction Airwallex operates in, and advise on governance improvements.

  • Liaise with external company secretarial service providers (e.g. Tricor), regulators, auditors and external counsel so filings and governance operations run to time.

Who you are

We're looking for people who meet the minimum requirements for this role. The preferred qualifications are great to have, but are not mandatory.

Minimum qualifications:

  • 5+ years of experience in company secretarial, corporate governance or related roles within financial services, fintech or another regulated industry.

  • Proven track record supporting boards and senior management in a global or regional corporate structure, managing competing priorities across multiple time zones.

  • Prior experience managing multi-jurisdictional entities and complex group structures, including entity incorporation, restructuring and statutory compliance across different legal regimes.

  • Strong knowledge of corporate governance frameworks, directors' duties and regulatory compliance requirements across multiple jurisdictions.

  • Excellent written and verbal communication skills, with the ability to prepare clear, concise board materials and interface effectively with directors, regulators and cross-functional stakeholders.

Preferred qualifications:

  • Professional company secretary qualification (ACG or FCG, formerly ICSA) or equivalent, or qualified lawyer.

  • Experience in a high-growth fintech, payments or technology company, ideally with exposure to cross-border structures and licensed entities.

  • Proficiency with board portal tools (e.g. Diligent) and entity management systems, and a willingness to use technology to improve governance processes.

  • Exposure to public-company readiness or pre-IPO governance workstreams.
