ABOUT THE ROLE:

The Director, Private Placements will play a senior origination and execution role within the firm’s private placement platform. This individual will be responsible for leading all aspects of private placement offerings, from idea generation and origination through structuring, execution, and investor placement. The role requires deep capital markets expertise, strong investor relationships, proven leadership in deal execution, and a commitment to developing junior talent.

YOUR RESPONSIBILITIES:   

The responsibilities for this role are below; you may support projects of varying complexity based on skill and organizational priorities.   

Origination & Idea Generation

  • Proactively generate private placement transaction ideas across sectors, capital structures, and credit profiles.
  • Partner with issuers, sponsors, bankers, and internal stakeholders to identify financing needs and structuring opportunities.
  • Lead business development efforts to expand the firm’s private placement franchise and market presence.

Transaction Leadership & Execution

  • Manage all aspects of private placement offerings, including structuring, documentation, investor marketing, pricing, and closing.
  • Serve as lead contact on private placement mandates, coordinating internal teams, agent banks, investors and the issuer.
  • Develop and articulate investment rationale, credit stories, and relative value positioning for investors.
  • Oversee preparation of offering materials, rating agency materials, financial models, credit memoranda, and management presentations.

Investor Relationship Management

  • Establish, develop, and maintain strong relationships with institutional private placement investors (insurance companies, asset managers, pension funds).
  • Act as a senior point of contact for investors throughout the transaction lifecycle.
  • Maintain detailed knowledge and database of investor preferences, portfolio constraints, and market dynamics to drive successful placements.
  • Support ongoing investor engagement to strengthen long-term strategic relationships.

Capital Structure & Credit Expertise

  • Apply in-depth knowledge of corporate capital structures, credit analysis, and covenant packages across senior, subordinated, secured, and hybrid instruments.
  • Provide thoughtful structuring solutions that balance issuer objectives with investor requirements.
  • Monitor market conditions, pricing trends, and investor appetite to inform transaction strategy.

Team Leadership & Talent Development

  • Mentor, train, and develop junior bankers, fostering technical excellence, sound judgment, and strong client service skills.
  • Provide hands-on guidance across client presentation materials, financial modeling, credit analysis, investor materials, and execution processes.
  • Promote a collaborative, high-performance culture within the private placements team.

Strategic & Platform Development

  • Contribute to the strategic growth of the private placement platform, including product expansion, sector focus, and process improvement.
  • Share market insights and best practices with senior leadership and broader capital markets teams.
  • Support firm-wide initiatives, cross-product collaboration, and client coverage efforts.

MINIMUM REQUIREMENTS:  

  • Bachelor’s degree in finance, accounting, economics, or a related field. Graduate degree preferred.  
  • 10+ years of experience leading private placement deals.
  • Strong origination and investor relationships to help build the platform.
  • Proven leadership and collaboration skills across matrixed organizations and cross-functional teams.  
  • Excellent interpersonal, written, and verbal communication skills.  
  • Strong project management capabilities and ability to lead teams and initiatives.  
  • Deep understanding of financial markets, corporate strategy, and client engagement.  
  • Ability to synthesize market intelligence into actionable insights and strategic recommendations.  
  • Securities Industry Essentials (SIE), Series 79, and Series 63 licenses required.  
  • Ability to travel as required.

Compensation for this position is largely incentive-based. Incentive compensation is combined with either a base salary or a draw to determine total cash compensation, and incentive compensation is based upon company, line of business and/or individual performance.
