- Analyze and model the state tax implications of mergers, acquisitions, dispositions, and post-transaction integration activities.
- Support clients through transaction execution, integration planning, and post-close implementation.
Restructuring & Corporate Transactions
- Advise clients on legal entity rationalization and organizational restructuring initiatives.
- Evaluate state tax implications of intercompany reorganizations, spin-offs, drop-down transactions, debt restructurings, and bankruptcy-related transactions.
- Develop cash tax impact analyses, forecasts, and state tax modeling to support strategic decision-making.
- Assist clients with post-acquisition integration and ongoing tax optimization strategies.
Leadership & Client Service
- Lead multiple engagements simultaneously while ensuring high-quality client service and timely project delivery.
- Review technical memoranda, due diligence reports, transaction analyses, and client deliverables.
- Serve as a primary client contact and trusted advisor to tax directors, CFOs, corporate tax departments, and private equity stakeholders.
- Collaborate with federal tax, international tax, valuation, accounting, and legal professionals on complex transactions.
- Mentor, develop, and coach staff, senior associates, and managers.
- Support business development efforts, including proposal development, networking, thought leadership, and expanding existing client relationships.
