Our client, a rapidly growing AI marketing platform serving leading global enterprises, has exclusively retained Solutus Legal Search to assist in its search for a Senior Commercial Counsel. Reporting to the Head of Legal, this attorney will serve as a key legal partner to the company's sales organization, independently negotiating sophisticated commercial agreements and helping build a scalable commercial legal function.

Following a significant new funding round, the company is entering an exciting period of growth and product expansion. This is a high-impact opportunity to join a lean, collaborative legal team, work closely with company leadership, and help shape the processes, technology, and infrastructure needed to support the business as it scales.

Responsibilities

  • Serve as a primary legal partner to the Sales organization, structuring, negotiating, and closing enterprise SaaS, procurement, partnership, and strategic business development agreements.
  • Independently manage a high volume of transactions from initial review through execution, including sophisticated negotiations on customer paper and matters requiring fast turnaround.
  • Provide practical, business-oriented advice that helps the company move quickly while appropriately managing legal, commercial, and regulatory risk.
  • Develop and maintain contract templates, negotiation playbooks, risk frameworks, and other processes that support an efficient and scalable contracting function.
  • Help implement and refine the company's AI-enabled legal operations strategy, including the use of technology for initial contract review, redlining, and workflow improvement.
  • Partner with Sales, leadership, and other cross-functional teams on privacy, data protection, intellectual property, and product issues arising in commercial transactions.
  • Contribute broadly as a member of a lean legal team and take on additional projects and responsibilities as the company continues to grow.

Qualifications

  • Approximately 7-10 or more years of legal experience, including at least five years of in-house experience negotiating B2B SaaS and technology agreements.
  • Experience supporting a respected, high-growth, or data-centric SaaS organization with significant commercial deal volume.
  • Substantial experience negotiating sophisticated agreements on customer paper, rather than relying primarily on company-standard forms.
  • High degree of initiative, ownership, and responsiveness, with the ability to manage the sales contracting process independently and prioritize effectively during critical periods.
  • Strong business judgment and a pragmatic approach to balancing legal risk with commercial objectives.
  • Experience advising on the transactional aspects of data privacy, including data processing agreements and GDPR-related issues.
  • Strong communication and interpersonal skills, with a collaborative, low-ego approach and the ability to build credibility with customers, Sales professionals, and senior leadership.
  • Interest in using AI and other technology to improve legal workflows; experience with AI or data-driven products is a plus.
  • J.D. from an accredited law school and active bar admission in at least one U.S. state.

This position is based in New York City and requires working in the company's office three days per week. Compensation is expected to include a base salary of approximately $270,000, plus equity and a competitive benefits package, commensurate with experience and qualifications.
