Provide legal counsel to senior leaders of the Equity Finance business on prime brokerage, equity swaps, and related financing transactions; negotiate and document client agreements; advise on U.S. securities, commodities, and regulatory frameworks; manage complex legal projects, outside counsel, policy interpretation, risk mitigation, and stakeholder engagement to support business operations and compliance.

Lead negotiation and preparation of capital markets trading and financing agreements (ISDA, CDEA, GMRA, MRAs, MSFTA, etc.), manage deal pipeline, mitigate legal and regulatory risk, update templates/processes, collaborate with internal stakeholders, and support regulatory implementations and process improvements.

Provides senior legal counsel on acquisition finance, syndicated lending, leveraged finance, bridge loans, and related transactions. Advises senior leadership and business stakeholders on complex legal, regulatory, lending, secured-finance, and market matters. Serves as primary legal coverage across multiple transactions, manages external law firms, educates legal colleagues, and supports large-scale strategic solutions for Corporate & Investment Banking.
